1. Agreement to Terms
By accessing or using any service provided by Smarting Goods ("we", "us", or "our"), including the Smart Business app and the smartinggoods.com platform (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Services.
2. Description of Services
Smarting Goods provides software tools including:
- Business management tools (appointments, staff, customer management)
- Multi-tenant website and storefront builder
- An AI-assisted trading automation platform that connects to third-party cryptocurrency exchanges via user-provided API credentials
The trading automation platform is a software tool only. It does not constitute investment advice, portfolio management, or any regulated financial service.
3. Trading Platform — Important Disclosures
Please read this section carefully before using the trading features.
- Not Investment Advice. Smarting Goods does not provide investment advice, financial advice, trading recommendations, or any other financial services. All trading signals, strategies, and automation features are software tools only. Nothing on this platform should be construed as a recommendation to buy or sell any asset.
- You Own Your Account. You connect your own exchange account (e.g., Binance) using API keys that you create and control. We never hold, custody, or control your funds. You remain solely responsible for your exchange account and all activity within it.
- Risk of Loss. Cryptocurrency and futures trading carries a substantial risk of loss. Leveraged futures trading can result in losses exceeding your initial deposit. You may lose all of your capital. Past performance of any strategy shown on this platform does not guarantee future results.
- No Withdrawals. Our platform is configured to use trading permissions only. We strongly recommend that any API key you create for use with our platform does NOT have withdrawal permissions enabled. We will never initiate withdrawals from your account.
- Regulatory Compliance. It is your sole responsibility to ensure that your use of this platform complies with the laws and regulations of your jurisdiction. Cryptocurrency trading may be restricted or prohibited in certain countries.
- No Guarantee of Performance. Automated trading strategies can malfunction due to software bugs, exchange API errors, network issues, or unexpected market conditions. We make no guarantees about the performance, uptime, or accuracy of any trading feature.
4. Eligibility
You must be at least 18 years old to use the Services. By using the Services, you represent that you are of legal age and have the legal capacity to enter into this agreement.
5. User Accounts
- You are responsible for maintaining the security of your account credentials.
- You must not share your account with others or allow unauthorized access.
- You must provide accurate information when registering.
- You are responsible for all activity that occurs under your account.
6. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any regulations
- Attempt to reverse engineer, hack, or disrupt the platform
- Use the Services to manipulate markets or engage in market manipulation
- Resell or sublicense the Services without our written permission
- Upload or transmit malicious code or interfere with the platform's operation
7. API Keys and Third-Party Exchange Credentials
When you connect a third-party exchange account:
- Your API keys are encrypted at rest using AES-256-GCM encryption
- We access your exchange account only for the purposes you authorize (trading, reading balances/positions)
- We will never use your credentials to withdraw funds
- You may revoke access at any time by disconnecting your exchange account in your settings or by deleting the API key directly on the exchange
8. Payments and Subscriptions
- Paid features are billed through Stripe or other payment processors as disclosed at the time of purchase.
- Subscriptions renew automatically unless cancelled before the renewal date.

9. Intellectual Property
All content, software, and materials on the platform are owned by or licensed to Smarting Goods. You may not copy, reproduce, or distribute any part of the platform without our written permission.
10. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. We disclaim all warranties to the fullest extent permitted by law.
11. Limitation of Liability
To the fullest extent permitted by law, Smarting Goods shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to trading losses, loss of profits, loss of data, or loss of business, arising out of or related to your use of the Services. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months prior to the claim.
12. Indemnification
You agree to indemnify and hold harmless Smarting Goods and its affiliates from any claims, losses, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.
13. Termination
We reserve the right to suspend or terminate your account at our discretion if you violate these Terms or engage in conduct we determine to be harmful to the platform or other users. You may terminate your account at any time by contacting us.
14. Governing Law
These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Massachusetts.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
